Business Advisory
The right structure protects everything you build.
Company, trust or hybrid. Set up or redesigned so you get to keep more, reduce your risk and never pay avoidable tax whilst trading or under any exit scenario.
The spiderweb problem
Do you actually know why you have the structure you have?
Most owners don't. They arrive with a spiderweb of companies and trusts, unable to explain the benefit or purpose of any of it. All they know is that a previous accountant said it was a good idea. A structure you don't understand is a structure you can't use: distributions get fumbled, Division 7A traps appear, and the setup that was supposed to protect you quietly stops fitting the business you actually run.
We start by drawing yours on one page and explaining it in plain English. Then we fix what needs fixing.
What you get

Tax-effective by design.
The structure fits your purpose and goals and is designed to provide maximum flexibility, reduce tax legally year on year, and under any trigger event or exit scenario.
Asset protection that's real.
If something goes wrong, you know exactly what is exposed and what is not. We help reduce that risk.
Built for the end game.

Explained in plain English.
You will understand your own structure, on one page.

Our process
Three steps. From spiderweb to clarity.
Structure work goes wrong when it is rushed. Here is how we run yours.
Step 1, Map it.
We listen carefully to your goals and objectives. Your current structure is drawn on one page in plain English, with the risks and purpose for each entity made clear for all parties.
Step 2, Plan the move.
If change is needed, the restructure is designed with the tax consequences, rollovers and duty planned before anything is signed.
Step 3, Build and hand over.
Entities set up, registrations done, and you walk away understanding exactly what you own and why.
A client story
From sale to fresh start.
When a long-term client sold his manufacturing business, we ran the process with him. Years later, when he bought back into the industry, we built the new operation from the ground up: structure, software, chart of accounts, processes and a trained bookkeeper.
He still sits down with us every month. His son now works in the business, and when the next handover comes, the structure is already ready for it.
Common questions
Questions we get asked.
It depends on how profit is earned, who shares it, your risk profile and where you are headed. That is a facts-based decision, not a default. Templated setups are exactly why so many businesses end up needing a restructure. (General information only.)
Common triggers include: you have outgrown the original setup; profits have increased significantly or a capital gain is imminent or likely; new partners or investors are entering; there are asset protection gaps; a sale is on the horizon; there have been significant changes in legislation; or you simply cannot explain why the structure exists.
It can. CGT and duty need planning before you move, and rollovers and concessions may apply. Getting this right before signing anything is most of the value. We will explain the costs, benefits and implications for all parties as part of any restructure, with clear timelines and actions so that everyone has clarity. (General information only.)
Yes. A lot of our structuring work arrives through lawyers, and on transactions we work as one team with yours. If you do not have a lawyer, we work with practical, commercially minded lawyers who can assist or provide a second opinion on any restructure.
The worst cases we see involve owners who sell their business and discover at settlement that their structure has cost them real money that could otherwise have been avoided with detailed structuring advice tailored to their specific circumstances. That conversation is much cheaper when held earlier.
